1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (individually or on behalf of an entity, "you" or "User") and WiseYield ("we," "us," or "our") governing your access to and use of the WiseYield platform, including our website, mobile applications, APIs, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Eligibility and Account Registration

2.1 Age and Authority

You must be at least 18 years old to use the Service. By using the Service, you represent that:

• You have the legal capacity to enter into binding contracts
• You are not prohibited from using the Service under applicable laws
• If representing an organization, you have authority to bind that entity

2.2 Account Responsibilities

You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Maintain the security of your password and account credentials
• Immediately notify us of any unauthorized access or security breach
• Accept all responsibility for activities under your account

3. Service Description

WiseYield provides an AI-powered agricultural intelligence platform offering:

• Crop monitoring and yield prediction
• Weather intelligence and alerts
• Soil analysis and recommendations
• Farm management tools and analytics
• Data visualization and reporting

We reserve the right to modify, suspend, or discontinue any feature at any time, with or without notice, without liability to you.

4. Subscription Plans and Billing

4.1 Plan Types

WiseYield offers various subscription plans (Free, Professional, Enterprise) with different features and pricing. Plan details are available on our pricing page.

4.2 Free Trial

We offer a 14-day free trial for new users. No credit card is required. At the trial's end, your account will revert to the Free plan unless you subscribe to a paid plan.

4.3 Billing and Payments

• Subscriptions are billed in advance on a monthly or annual basis
• Payment is processed via Stripe or other authorized payment processors
• All fees are in USD unless otherwise specified
• Subscriptions automatically renew unless cancelled before the renewal date
• You authorize us to charge your payment method for all applicable fees

4.4 Price Changes

We may change subscription fees with 30 days' notice. Price changes apply to subsequent billing periods after notice. Continued use after notice constitutes acceptance of new rates.

4.5 Refunds

All fees are non-refundable except as required by law or explicitly stated in writing by WiseYield. We do not provide refunds for partial billing periods.

4.6 Taxes

Fees are exclusive of taxes. You are responsible for all applicable taxes, duties, and governmental charges. We will add applicable taxes to invoices where legally required.

5. Acceptable Use Policy

You agree NOT to:

• Violate any laws, regulations, or third-party rights
• Use the Service for fraudulent, illegal, or harmful purposes
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems (bots, scrapers) without explicit written permission
• Upload malware, viruses, or malicious code
• Interfere with or disrupt the Service or servers
• Resell, sublicense, or transfer your account without authorization
• Remove, obscure, or alter any proprietary notices
• Use the Service to compete with WiseYield or develop a similar product
• Harvest or collect user data without consent
• Impersonate any person or entity

6. User Content and Data

6.1 Your Content

You retain all ownership rights to your agricultural data, farm information, and other content you upload ("User Content"). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, store, and analyze your content solely to provide and improve the Service.

6.2 Content Responsibilities

You represent and warrant that:

• You own or have rights to all User Content you submit
• Your content does not violate any laws or third-party rights
• Your content is accurate and not misleading

6.3 Data Backup

While we maintain regular backups, you are solely responsible for maintaining your own backups of User Content. We are not liable for any loss or corruption of your data.

7. Intellectual Property Rights

7.1 Our Property

The Service, including all software, algorithms, AI models, designs, text, graphics, logos, and trademarks ("WiseYield Property"), is owned by or licensed to WiseYield and protected by copyright, trademark, patent, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, subject to these Terms. This license does not grant you any rights to our intellectual property.

7.3 Feedback

If you provide suggestions, ideas, or feedback ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such Feedback without compensation or attribution.

8. AI-Powered Recommendations and Disclaimers

The Service may integrate with or link to third-party services, websites, or content. We do not control and are not responsible for third-party services. Your use of third-party services is subject to their terms and privacy policies.

10. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

11. Suspension and Termination

11.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access until then but will not receive a refund for the remaining period.

11.2 By Us

We may suspend or terminate your access immediately, without prior notice, if you:

• Violate these Terms or our Acceptable Use Policy
• Fail to pay fees when due
• Engage in fraudulent, illegal, or harmful activities
• Pose a security risk to the Service or other users

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days for potential account recovery, after which it will be permanently deleted (subject to legal retention requirements). Sections that by their nature should survive (indemnification, disclaimers, limitations of liability) will continue to apply.

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability, so the above limitations may not fully apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless WiseYield, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your User Content
• Violation of these Terms
• Violation of any laws or third-party rights
• Your farming decisions based on our recommendations

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Service at least 30 days before taking effect. Continued use after changes constitutes acceptance of the modified Terms.

16. Dispute Resolution and Arbitration

16.1 Informal Resolution

Before initiating arbitration or litigation, you agree to contact us at legal@wiseyield.co to attempt informal resolution. We will attempt to resolve disputes within 60 days.

16.2 Binding Arbitration

If informal resolution fails, any dispute shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA). Arbitration will be conducted in English. Each party bears its own costs unless the arbitrator awards fees to the prevailing party.

16.3 Class Action Waiver

You agree that disputes will be resolved individually. You waive any right to participate in class actions, class arbitrations, or representative proceedings.

16.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized use of the Service.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of the jurisdiction in which WiseYield is established, without regard to conflict of law principles. For users in the European Union, mandatory consumer protection laws of your country of residence may also apply.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and WiseYield.

18.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full force and effect.

18.3 No Waiver

Our failure to enforce any right or provision is not a waiver of that right.

18.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

18.5 Force Majeure

We are not liable for failure to perform due to circumstances beyond our reasonable control (natural disasters, war, terrorism, labor disputes, government actions, internet failures).
